Terms of Service

These Terms of Service (“Terms”) constitute a legal agreement between HyperWeb Solutions Limited (“Agentify”, “Company”, “we”, “us”, or “our”) and the individual or business entity (“Merchant”, “Supplier”, “User”, or “you”) accessing or using our Shopify application, WhatsApp AI messaging automation services, B2B Supplier Portal, and related software (collectively, the “Services”).

By installing Agentify from the Shopify App Store, registering a Supplier Account, or utilizing any portion of our Services, you agree to be bound by these Terms.

1. Scope of Services & Account Setup

Agentify provides an embedded software platform for Shopify merchants to automate customer support over WhatsApp, dispatch marketing campaigns, trigger event-driven recovery flows, and connect suppliers to order issue ticket resolution.

• Shopify Merchant Account: Merchants must maintain an active Shopify store in good standing and connect their store via Shopify OAuth authentication.
• Meta WhatsApp API Connection: Merchants connect their Meta WhatsApp Business Account (WABA) or utilize Meta Cloud API configurations. Merchants are solely responsible for maintaining active Meta Business Verification.
• Supplier Accounts: B2B Suppliers register accounts to access the Supplier Portal (`/supplier`) using connection invitation codes provided by authorized Merchants.

2. Compliance with Meta & WhatsApp Business Policies

Merchants and Users must comply strictly with all Meta Terms of Service, WhatsApp Business Messaging Policies, and Commerce Policies at all times.

• Customer Opt-In: Merchants warrant that they obtain explicit customer consent before sending promotional WhatsApp messages or abandoned checkout notifications.
• Messaging Windows: Non-template session messages must adhere to Meta’s 24-hour customer service window.
• Prohibited Content: Users shall not send spam, unauthorized bulk solicitations, unlawful, harassing, fraudulent, or abusive communications.

3. Autonomous AI Actions & Merchant SOP Limits

Agentify enables merchants to configure autonomous AI actions, including monetary refunds, unfulfilled order cancellations, and discount code generation.

• Financial Thresholds: Merchants set maximum automatic refund and cancellation monetary limits (`maxAutoRefundLimit`, `maxAutoCancelLimit`). Agentify shall not be liable for financial actions executed within merchant-configured thresholds.
• Identity Verification Safeguards: High-risk write actions require identity verification matching Shopify Admin records.

4. B2B Supplier Portal Usage

The B2B Supplier Portal facilitates direct ticket resolution between merchants and suppliers.

• Supplier Ticket Routing: Order issue tickets are generated automatically or manually by merchants and assigned to vendor accounts based on store vendor alias mappings.
• Customer Privacy: Supplier-to-customer communications are routed via Agentify’s AI clarification bridge. Direct scraping or unauthorized harvesting of customer phone numbers by suppliers is strictly prohibited.

5. Subscription Fees & Billing

Subscription billing for Shopify Merchants is processed directly through Shopify Subscription APIs in accordance with Shopify App Store Billing Policy.

• Plan Tiers: Agentify offers a Free Plan ($0/mo) and an AI Support Agent Plan ($150/mo). Recurring app charges are billed to the Merchant’s Shopify invoice every 30 days.
• WhatsApp Conversation Charges: Meta WhatsApp Cloud API utility and marketing conversation fees are billed in accordance with Meta's official regional rate card.

6. Intellectual Property

HyperWeb Solutions Limited retains all right, title, and interest in and to the Agentify software, codebase, trademarks, design system, and proprietary algorithms. Merchants retain full ownership of their store data, customer records, and custom knowledge base SOP uploads.

7. Limitation of Liability

To the maximum extent permitted by applicable law, HyperWeb Solutions Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, business interruption, or Meta API service suspensions arising out of or in connection with the use of the Services.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (Hong Kong SAR), without regard to its conflict of law principles. Any dispute arising under these Terms shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.
